Nothing in any Output constitutes or should be construed as: legal advice; financial advice; investment advice; credit ratings or credit analysis within the meaning of any applicable regulatory framework; a recommendation to lend, invest, acquire, onboard, or take any other action with respect to any counterparty; or a substitute for independent professional advice.

VADA's Outputs are based entirely on publicly available records sourced from official court and tribunal portals, government databases, and other public sources. VADA's team searches, aggregates, and analyses such records and presents them in a structured format.

VADA does not independently verify the accuracy, completeness, or currency of underlying records as published by the relevant courts or authorities. VADA is not responsible for: errors, omissions, or inaccuracies in source records; records not yet digitised or made publicly available; delays in official database updates; records removed or modified after retrieval; or the accuracy of case descriptions as listed in official databases.

The absence of a record in any Output does not mean no such case, proceeding, or claim exists. An Output should not be interpreted as a clean or clear status report on any counterparty.

3. No Warranty

To the fullest extent permitted by applicable law, VADA makes no representations or warranties — express, implied, statutory, or otherwise — regarding:

• The accuracy, completeness, timeliness, or fitness for purpose of any Output;
• The accuracy or completeness of any underlying court or tribunal database;
• The absence of errors, omissions, viruses, or other harmful components;
• Uninterrupted or error-free access to the Services or website;
• The suitability of any Output for any particular purpose or decision.

4. Limitation of Liability

To the fullest extent permitted by law, VADA, its directors, employees, agents, affiliates, and successors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with any Output, service, or communication, including but not limited to:

• Any lending, investment, acquisition, or business decision made in reliance on any Output;
• Loss or damage suffered by any third party who has received or relied upon any Output shared by the commissioning Client;
• Any inaccuracy, omission, or error in source data from official court or government databases;
• Any data breach, system outage, or failure beyond VADA's reasonable control.

VADA's total aggregate liability, in any event, shall be strictly limited to the fees paid for the specific engagement that is the direct subject of the claim.

5. No Reliance — Independent Verification Required

You must not place sole or determinative reliance on any VADA Output. Before making any lending, investment, acquisition, legal, or other significant business decision, you must independently verify relevant information, conduct your own due diligence, and obtain independent legal, financial, or professional advice as appropriate.

VADA's Outputs are intended as one input into a broader decision-making process and not as a complete or definitive assessment of any counterparty's legal position or risk profile.

6. Confidentiality and Third-Party Reliance

All Outputs are prepared for the exclusive use of the commissioning Client and for the specific purpose stated at the time of engagement. VADA accepts no responsibility and expressly disclaims all liability to any third party who may access, receive, or rely upon any Output.

Outputs are confidential. Any unauthorised use, disclosure, reproduction, copying, or distribution of any Output is strictly prohibited. All intellectual property in VADA's Outputs is owned by or licensed to V A D A Business Services Private Limited and no rights are granted without prior written consent.

7. Forward-Looking Information

Where any Output contains information about pending, ongoing, or anticipated legal proceedings, such information reflects the state of public records at the time of retrieval and may not reflect subsequent developments, settlements, dismissals, or outcomes. VADA is under no obligation to update any Output to reflect subsequent events.

The content on this website is provided for general information only and does not constitute an offer to provide any service. VADA reserves the right to modify, suspend, or discontinue any part of the website or Services at any time without notice or liability.

VADA does not warrant that its Outputs satisfy any regulatory requirement applicable to the User's industry or jurisdiction. Users regulated by the Reserve Bank of India, Securities and Exchange Board of India, Insurance Regulatory and Development Authority, or any other regulatory body remain solely responsible for their own regulatory compliance.

11. Governing Law

This Disclaimer is governed by the laws of India. Any dispute arising from this Disclaimer shall be subject to the dispute resolution provisions in the Terms of Service.
